AMENDMENT AND RESTATEMENT

AMENDMENT AND RESTATEMENT OF THE JEFFREY E. EPSTEIN 2014 TRUST THIS AMENDMENT AND RESTATEMENT OF THE JEFFREY E. EPSTEIN 2014 TRUST dated May 1, 2015 ("Amendment"), by and among JEFFREY E. EPSTEIN, as Grantor ("Grantor"), and DARREN K. INDYKE, JAMES E. STALEY and DAVID MITCHELL, as Trustees ("Trustees"). The Grantor hereby pays over, assigns, grants, conveys, transfers and delivers to the Trustees the property described in Schedule A annexed hereto and made a part hereof, to be administered and disposed of as provided in this Agreement, with any additions, changes, or amendments to this Agreement. This Trust shall be known as the "The Jeffrey E.
