Execution Copy TERMINATION AGREEMENT This TERIVIINATION AGREEMENT (this "Termination Agreement") dated as of December 7, 2016 (the "Termination Date") is entered into by and between Deutsche Bank AG ("Party A") and Southern Financial LLC ("Party B").
