FIRST AMENDMENT TO THE JEFFREY E. EPSTEIN 2018 TRUST THIS IS THE FIRST AMENDMENT TO THE JEFFREY E. EPSTEIN 2018 TRUST, dated October blgi 2018 ("First Amendment"), by JEFFREY E. EPSTEIN, as Grantor ("Grantor"). This First Amendment amends the Trust Agreement of The Jeffrey E. Epstein 2018 Trust, dated May ___, 2018 (the "Trust Agreement") by and among Grantor and DARREN K. INDYKE, RICHARD D. KAHN and KATHERYN H. RUEMMLER, as Trustees ("Trustees"). All capitalized terms used but not otherwise defined herein shall have the meanings ascribed to such terms in the Trust Agreement. In accordance with the right of amendment reserved by the Grantor in Article I, Section 1.3, Pargraph A of the Trust Agreement, Grantor hereby amends the Trust Agreement as follows: Article II, Section 2.3, Paragraph A of the Trust Agreement is hereby amended to add thereto a new Clause 34, which reads as follows: 34. If and at such time or times as my Trustees shall determine in their sole and absolute discretion that it would be beneficial for the protection of the exclusive and unimpeded right to the use and enjoyment by KARYNA SHULIAK of any distribution which pursuant to the provisions of Article II, Section 2.3, Paragraph A, Clauses 31 and 32 of this Agreement is to be made directly to KARYNA SHULIAK, then notwithstanding the provision of this Agreement directing my Trustees to make such distribution directly to KARYNA SHULIAK, my Trustees shall be authorized to make such distribution in Trust for the benefit of KARYNA SHULIAK. With respect to any such distribution placed in Trust pursuant to the provisions of this Clause 34, DARREN K. INDYKE and RICHARD D. KAHN shall serve as the Trustees of said Trust, and said Trust shall be administered in accordance with the provisions of Article III, Section 3.1, Paragraphs A, B and C, and all of Section 3.2 of this Agreement. In all other respects, Grantor ratifies and confirms all the provisions of the Trust Agreement.
