ALKEON GROWTH PW PARTNERS, LP SERIES ONE AND SERIES TWO INTERESTS INSTRUCTIONS TO SUBSCRIPTION AGREEMENT Any person desiring to become a limited partner of Alkeon Growth PW Partners, LP (the Partnership") should: (a) complete and execute the attached Subscription Agreement (the "Agreement") including Appendix A (Electronic Communications) and Appendix B (Form W-9), offering to make a capital contribution on a specified date (the "Admission Date') in the amount set forth below his or her name at the end of the Agreement, and, if requested by the Partnership, Appendix G ("AML Requirements"); (b) execute the signature page of the Limited Partnership Agreement of the Partnership (the "Partnership Agreement"); and (c) e-mail the completed Agreement and si nature a e of the Partnership Agreement to Alkeon Capital Advisers, LLC at The Partnership will advise each subscriber promptly of its acceptance of any offer to become a limited partner of the Partnership and confirm the Admission Date, but Alkeon Capital Advisers, LLC, the general partner of the Partnership, has the right to refuse any offer to become a limited partner for any reason. Limited partners that would like to make an additional capital contribution, or that would like to withdraw their investment. may do so using the forms attached at the back of this Agreement.
