The Bank is authorized and directed to follow the instructions of said Agent(s) in every respect related to this authorization. The Company agrees to indemnify and hold the Bank harmless from all costs, expenses (including reasonable attorneys' fees) and liability related to or arising from actions taken by any Agent that relate to this authorization, and to pay the Bank promptly on demand any and all losses and liabilities arising on any action taken or not taken in reliance on this authorization. This authorization and indemnity is in addition to, and in no way limits or restricts, any rights which the Bank may have under any other agreement(s) with the Company, now existing or hereafter entered into, and is binding on the Company and its successors and assigns. This authorization and indemnity is also a continuing one and shall remain in full force and effect and the Bank may continue to rely on this authorization until such time as it receives written notice of its termination. No such termination shall affect any liability arising out of any transaction initiated prior to such termination. This authorization and indemnity shall inure to the benefit of the Bank and its successors and assigns, irrespective of any change or changes of any kind in the personnel thereof for any cause whatsoever. The undersigned certifies to the Bank that the specimen signatures of the Company's Agent(s) are true signatures of the Agent(s). The undersigned shall certify in writing to the Bank any changes in the powers, office or identity of the Agent(s) authorized to perform the powers enumerated above.
