2020-0641-1 AMENDMENT NUMBER ONE This amendment (“Amendment”) is effective as of the date of signature of the last party to sign as indicated below (“Amendment Effective Date”), by and between Tyler Technologies, Inc. with offices at One Tyler Drive, Yarmouth, Maine 04096 (“Tyler”) and The State of New Mexico Administrative office of the Courts, with offices at 237 Don Gaspar, Room 25, Santa Fe, New Mexico 87501 (“Client”). WHEREAS, Tyler and the Client are parties to a subscription license and services agreement dated May 8, 2020 (“Agreement”); and WHEREAS, Tyler and Client desire to amend the terms of the Agreement as provided herein. NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Tyler and the Client agree as follows: 1. Subscription Term. The parties desire to renew the term of the Agreement for an additional one (1) year term, as referenced in Section 6 of the Agreement from July 1, 2021 through June 30, 2022 “Renewal Term”. Upon expiration of the Renewal Term, the agreement will not renew in accordance with the non-renewal provisions of Section 6 of the Agreement. 2. Subscription Fees. Subscription Fees for year one of the Renewal Term are $10,000.00 as described in the Investment Summary below. Subscription fees are invoiced annually in advance, beginning on the commencement date of the Renewal Term. 3. The referral of new cases will stop as of the end of the initial term to allow for a program evaluation. Future referrals may resume if mutually agreed upon by both parties. The parties will work together with a high degree of collaboration to define the Scope for the program evaluation. The Modria product is offered as is, new development to the product will be agreed upon by both parties. 4.
